Memtrove End User License Agreement

This Agreement is between you (an individual, or the organization you represent) and Mei Biaokui ("we") and covers the Memtrove software (the "Software"). By installing or using the Software you agree to this Agreement. If you do not agree, do not install or use the Software.
1. Trial
You may try all features of the Software free of charge for 14 days after first running it. After the trial, some features are limited until you activate a license.
2. License
- When you buy a license, we grant you a non-exclusive, non-transferable (except under section 6), perpetual license to install and use the Software on up to 3 Macs that you own or control.
- The license includes all versions, and updates to them, released within one year of purchase (the "Updates Period"). After the Updates Period ends you may keep using any version released during it, forever. Versions released after the Updates Period require a separate renewal purchase (each renewal includes another year of updates).
- The Software is licensed, not sold. We retain all rights in the Software.
3. Restrictions
You may not: (a) rent, lend, resell or sublicense the Software or a license key; (b) circumvent, disable or crack license verification; (c) reverse engineer, decompile or disassemble the Software except to the extent the law allows; or (d) remove copyright or license notices from the Software.
4. Your data
The Software processes your files locally on your device, and we cannot access that content. You are responsible for the files the Software processes, and for how any third-party application you connect to the Software (such as an AI assistant) uses that content. See the Privacy Policy for details on data handling.
5. Third-party components and services
The Software includes open-source components, whose licenses are listed in the notices included with the Software; each component is governed by its own license. The semantic model download (Hugging Face), licensing and payment (Lemon Squeezy), and any AI application you choose to connect are provided by third parties under their own terms.
6. Transfer
With our written consent (support@memtrove.app), you may transfer your license in full to someone else, provided you stop using the Software and deactivate it on all your devices.
7. Refunds
Within 14 days of purchase, if the Software doesn't meet your needs, you can request a full refund via support@memtrove.app or Lemon Squeezy. Your license is deactivated once refunded. This section does not affect your statutory rights as a consumer where you live.
8. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Software is provided "as is", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Software will be uninterrupted or error-free, or that search results will be complete or accurate.
9. Limitation of liability
To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special or consequential damages (including loss of data or profits) arising from the use of, or inability to use, the Software, and our total liability is limited to the amount you paid for the Software. Some jurisdictions do not allow such limitations, in which case local law applies.
10. Termination
This license terminates automatically if you breach this Agreement. On termination you must stop using and delete the Software. Sections 3, 8, 9 and 11 survive termination.
11. Governing law
This Agreement is governed by the laws of the People's Republic of China. Any dispute arising from this Agreement shall first be resolved through friendly negotiation; if that fails, either party may bring it before the competent people's court at the developer's place of domicile.
